Wertpapierhandelsgesetz (WpHG) sind Aktionäre, die durch Erwerb, Veräußerung oder auf sonstige Weise bestimmte Schwellen bei Stimmrechten (3%, 5%, 10%, 15%, 20%, 25%, 30%, 50% oder 75%) an einem inländischen Emittenten erreichen, über- oder unterschreiten, verpflichtet, dem Emittenten und gleichzeitig der Bundesanstalt für Finanzdienstleistungen (BaFin) unverzüglich, spätestens innerhalb von vier Handelstagen, das Erreichen, Überschreiten oder Unterschreiten der genannten Schwellen mitzuteilen. Neben den Stimmrechtsanteilen müssen Kapitalmarktteilnehmer gemäß §§ 38, 39 WpHG auch melden, wenn sie bestimmte Finanzinstrumente halten, mit denen Aktien erworben werden können. Hier beträgt der Eingangsschwellenwert 5%.
